01The basics
These Terms are part of the TextPost Sales Representative Agreement you signed. “TextPost” means Leadamp AI LLC. A “Customer” is a business that subscribes to TextPost.
You are an independent contractor, not an employee. You are paid commission only — no salary, no draw, no benefits — and you get a 1099. You set your own hours and methods, and you pay your own taxes. There is nothing to buy to become a rep and nothing to buy to stay one. You cannot sign contracts, accept payment, or make commitments on behalf of TextPost.
Once a Customer signs up, the account is ours. Onboarding, publishing, support, billing and cancellations are all TextPost. You have no service obligation.

Commission is paid on the subscription fee we actually collect. The one-time setup fee is not commissionable.
The one-level commission is exactly one level deep. You earn on reps you personally brought in, not on anyone they recruit. There are no ranks, levels or qualifications.
We may change rates for Customers signed after we give you written notice. Rates on Customers you already signed do not change.
03When you're paid
A commission is payable once the Customer passes their 30-day money-back window and the payment has settled. We pay it within five business days.
There is no monthly payday — commissions go out as they clear. In practice your first one arrives about a month after the sale, because the 30-day window has to close first.
Payments run through Stripe Connect, so you will complete Stripe’s onboarding before your first payment. We need a completed W-9 on file first as well. Funds usually take a couple more business days to land in your bank after we send them.
04If a payment is reversed
If a Customer cancels, nothing is taken back. Your commissions on that Customer stop going forward, and we do not reach back for what you have already been paid. Waiting out the 30-day window is what lets us promise that.
If a Customer’s payment is reversed — a chargeback, a bank dispute, or a refund outside the 30-day window — the commission paid on that payment comes off your next payment. Your dashboard will show the deduction and name the Customer. This is the only case where a paid commission is adjusted.
If we pay you something you were not owed because of an error on our end, we may correct it against future commissions after telling you.
05How Customers are credited to you
Credit comes from your referral link and nothing else. A Customer belongs to the rep whose link they signed up through. We do not accept verbal or written claims in place of a link.
Your group and the rep who recruited you are set from the link you used when you registered, and are fixed from then on. If you think a registration was attributed wrongly, contact us — corrections are only possible before your first commissionable sale, and only going forward.
06The rules
These four matter. Breaking any of them can end the Agreement, and under Section 7 it can end your commissions.
- Never tell anyone what they will earn. No income claims of any kind — no figures, ranges, averages, examples, your own results, or screenshots — to prospective Customers or prospective reps. You may quote the per-customer rates published on our rep page, and nothing else.
- Only make product claims we have published. Do not invent features, promise results, guarantee search rankings, or claim TextPost publishes inside AI assistants. If you are not sure a claim is approved, ask first.
- Follow the contact laws. You are responsible for complying with the TCPA, federal and state Do Not Call rules, and anti-spam laws. No unsolicited telemarketing calls or automated texts on our behalf.
- No fake or self-dealing registrations. Do not register a business that does not intend to use the service, register one without its authorization, or earn commission on your own company or one you or a family member control. Any commission from those is void.
07If you leave
You quit, or we end it without cause. You keep earning on every Customer you signed, for as long as they stay, and on Customers your recruits signed on or before your end date. You earn nothing on Customers signed after that. Your dashboard stays available read-only while money is still paying.
We end it for cause. All commissions stop from that date, including on Customers you already signed. Cause means fraud, material misrepresentation, breaking the contact laws, fake or self-dealing registrations, or other conduct prohibited above. Where it can be fixed, we will give you written notice and fifteen days to fix it first.
Inactivity. If you go two full calendar quarters with no new Customer and no new recruit, we may give written notice and phase out your one-level commission over the following twelve months. Customers you signed yourself are never affected.
Either of us can end the Agreement at any time, with or without reason, in writing.
08How long commissions last
Your commissions on a Customer continue for as long as that Customer keeps paying. They are not capped at twelve months or twenty-four.
If TextPost is acquired, your ongoing commissions convert to a single lump sum equal to twelve months of what that book was earning at closing, paid within sixty days. Nothing further is owed after that.
09The legal bits
Confidentiality and brand. Customer lists, unpublished pricing and other reps’ numbers stay confidential, during and after. You may use our name, logo and supplied materials to promote TextPost while the Agreement is active — not altered, not on domains or social accounts of your own, and not in paid search on our brand terms.
No territory. Nothing here is exclusive. Other reps and TextPost may sell to the same markets and businesses. The link decides credit.
Changes. We may update these Terms. If a change materially affects your pay, we will tell you in writing first and it will apply only to Customers signed after that date.
Law. Pennsylvania law governs, and disputes go to the state or federal courts in Montgomery County, Pennsylvania. Please contact us first — most disagreements about credit or payment come down to a record we can look up together.
This, with the Agreement, is the whole deal between us. If part of it is unenforceable, the rest still stands. Questions: support@textpost.ai.
